Limited Liability Companies Important Facts

The fairly new and popular LLC is known as a hybrid business structure that offers the tax benefits of a partnership, and limited liability of corporations. It has grown in popularity since it's start in Wyoming in 1977.
  • Unless the company elects to be taxed like a corporation, they will automatically be taxed like a partnership.
  • LLC's are created at the state level and subject to operate and be formed according to state laws. 
  • Like a corporation, LLC's are treated as a legal person that can sue or be sued.
  • LLC's can enter into contracts.
  • LLC's can be designated as Ltd., Limited, A Limited Liability Company and must be displayed after names of businesses operating as such.
  • Texas allows for single member LLC's, but some states require at least two members to form an LLC.
  • One member LLC's are automatically taxed as sole-proprietorship unless specific instructions are given to be taxed as a corporation.  
ADVANTAGES

One of the most attractions of this business form is that unlike a corporation, the LLC will not pay taxes. Instead, members of the company pay taxes personally on earnings as money passes through the company.

Members also have the option to not pay the profits to the members, rather reinvest it into the company. In this case, taxation as a corporation is most beneficial because income tax rates for corporations are often lower than personal income tax rates.

This flexibility in regards to taxation is what makes this business form attractive to most business owners. This kind of arrangement makes it easy for entrepreneurs to protect their personal assets while operating a separate entity.

Small Business Payroll Tax Cut Possible Impact

Small business owners voiced their opinions to the White House after a proposed payroll tax cut was presented. According to the U.S. Small Business Administration, small businesses account for 99.7% of employer firms. Within the last two decades, small businesses have been responsible for more than half of the country's job growth.

So what did these entrepreneurs have to say? They concentrated on three topics:

  • Incentives for hiring and job growth
  • More information about how health care reform will affect small businesses
  • Solutions for real estate crisis and getting foreclosures sold more quickly
Politics aside, think of the impact that a 50% deduction in payroll taxes might have on your bottom line. Would companies feel less hesitant to hire, and possibly resume their leading place in the hiring arena?

What about investments? There are ways to recoup losses for companies, however, the companies may not feel comfortable, given recent economic reports. 

Possible Impact 

So what could small businesses use their payroll tax cuts on?
  • Sales - More money to hire salespeople, improve profits, and ultimately business growth.
  • Marketing - Let more people know about their businesses and broaden their areas of operation.
  • Technology - Evaluate present processes that could be replaced by technology, and invest in technology that will surely improve their productivity and operations overall. 
  • Internet Marketing - Research the benefits that taking their brick and mortars online could have on their bottom line.

Labor Day Potential Cost & Benefit

Labor Day is far more than a day off from work for American workers. In fact, a strike organized to protest a 58 hour workweek in Toronto, Canada is the origin of the national holiday. American traditions include barbecues, parties, and just plain relaxation.

For small business owners and entrepreneurs, opening their doors on this holiday would depend on the amount of resources and cost necessary to operate versus the probability of profit. 

Businesses that operate in factories, warehouses, and other large spaces ultimately all have to make the decision about whether the cost of keeping their doors open on a certain day are worth the benefit they receive. 

Holidays like 4th of July and Christmas make this an easy decision. Sales increase and consumers are usually out shopping. But Labor Day may cost some professionals more money to stay open that to just take the day off. Others may not see any cost increase, but also no productivity or sales increase, giving them more of a reason to spend the day with family or friends.

What about real estate agents, business consultants, writers, or other professions that are not as likely to see increase in sales on Labor Day? What should they consider before heading to the office?


  • Cost of travel to office for the day
  • Projected customer volume as predicted from previous years or research
  • Customer service policy; if customers are used to 24/7 support, don't disappoint.
  • Cost of operations (use of equipment, electricity and utility payments)
  • Whether or not the extra day will increase sales by performing administrative or "housekeeping duties"
  • Workload

Technology Pioneer Steve Jobs Leaves Lasting Fingerprint on Business and Technology

Part of the allure of business in America is the relative ease to begin businesses and the "pursuit of happiness." Co-founder of technology giant, Apple Inc., Steve Jobs demonstrated the successful navigation of several obstacles to realize his dream. He left Apple for several years before he returned with an idea that would forever change music, business, the world. 

Apple, Inc created wealth and jobs for many Americans. In fact, every entrepreneur in the world could learn and apply lessons from the former CEO.

Aside from breaking barriers and setting new standards in technology, business and computers, Steve Jobs' innovation was the catalyst that caused countless other entrepreneurs to open their own businesses. The iPhone, iPod, iPad, iMac, MacBook Pro, and other Apple products require accessories and equipment that have given opportunity for other business men and women to resell, market and distribute what hungry consumers demand. In fact, the iPhone routinely sells out, and with the addition of the iPad, the possibilities are limitless.

Business curricula will surely  include the innovative leadership abilities of Mr. Jobs. Overcoming failures and watching Microsoft continue to sell and grow was no small detail throughout the time that Mr. Jobs worked for Apple. Besides the overwhelming success, businesses formed, processes  improved, and lives changed through the line of products produced by Apple, motivation to go after a dream with every fiber of ones being cannot be ignored. According to Wikipedia, Jobs compared his business plan to the Beatles. He strongly believed in teamwork and that great business was accomplished by many people, not just one. It is unlikely that the full impact of his inventions or business expertise has left on the world.

The Mistake of Multitasking


Being able to juggle several tasks and multi task is a skill that may or may not prove to be an asset for business professionals. Job descriptions in every level of an organization routinely mention the need for an employee that can work on several projects concurrently usually within a dynamically changing work environment. 


But is multitasking an effective and efficient way to accomplish entrepreneurial tasks?

Type in "the argument against multitasking" in your Google search box, and you will find that several professionals in diverse industries believe multitasking to be a hindrance. The argument seems to be growing in popularity that accomplishing tasks in a sequential manner is far more efficient than attempting to do many at once. 

Perhaps this is the point of the old childhood exercise of patting ones head while rubbing their stomach at the same time. In this exercise, it is easy to see that doing both actions causes one action to be slowed, or stopped altogether. 

The mistake in multitasking is assuming that the same quality of work provided for each project will be the same. Even while completing several projects, it is important to focus on one project at a time so that attention to small details is not compromised. The quality of work is far more important than quantity, especially in service based industries where customer satisfaction is directly related to return business and referrals.


Imagine walking into your local supermarket and having the cashier check out your groceries and someone else's at the same time. This would cause many problems from a customer perspective:


  • Customer will not receive the same attention they would have without competing for the cashiers service
  • Customer is more likely to be annoyed by the above fact alone; but add the increasing possibility of double scans or money errors and the customer could become irate
  • Customers with an agenda to steal would have more opportunity to do so
The issues from the company perspective would include:
  • Slowed productivity in the store
  • Higher rate of complaints from annoyed customers
  • Higher rate of errors in handling cash and resolving customer concerns
As entrepreneurs, multitasking can spell disaster. When working on several projects, it is better to develop a schedule where one project will be worked on at certain times before moving on to another. Scheduling the day so that each project has a time slot with small goals or objectives will produce better quality work allowing the brain to focus on a particular issue. Focusing is difficult to achieve when the mind is attempting to process several requests at the same time.

Even if duties cannot be completed in the time allotted, working in sequence saves time, increases quality, and reduces possibility of mistakes and stress. Just as computers slow when too many requests are sent at once, so does the brain take longer to process requests when bombarded by too many at once.
